NOTICE TO ECYD MEMBERSHIP – SPECIAL GENERAL MEETING (SGM) – 15/04/2025

ECYD apologises for any inconvenience but, due to circumstances beyond its control, the club has had to rearrange the date of its Special General Meeting. The meeting was initially planned for 15 May 2025 but will now take place on Tuesday 15 July 2025 at 7.00 p.m. and will be held online.

RECONVENING THE AGM BEGUN ON 9 NOVEMBER 2024

To all members of ECYD and those who attended the ECYD AGM

As you are aware, the ECYD AGM held at Littleton Sailing Club on 9 November 2024 lasted over 4.5 hours.

ECYD, with help from LSC, had set up a reliable Zoom link so that those attending ‘virtually’ could take part.

Unfortunately, there was a power loss which caused the loss of Zoom connectivity, for which ECYD offers apologies.

It took approximately 20 minutes for the Internet connection to be re-established and for Zoom attendees to re-join the AGM.  By that time, many attendees both on Zoom and in-person had left the meeting.

The numbers present at the AGM were fewer than the twenty members present required by the Constitution; accordingly, the AGM was automatically adjourned in accordance with the Constitution.

The ECYD AGM Agenda was not completed as the Motion to relocate Freyja to the Gibraltar area was not discussed or voted upon, it was not possible to conclude the AGM.

The ECYD AGM will reconvene on:

Saturday 30 November 2024 at 09.30 hours.

The reconvened ECYD AGM will be held virtually by electronic means and is open to all ECYD members.

The meeting code will be available to all who request it from treasurer@ecyd.org.uk before the meeting.

If the reconvened AGM is not quorate by 10.30 hours on 30 November, the AGM will then reconvene on Saturday 7 December at 09.30 hours.  Revised information will be posted on the ECYD web-site by 01 December 2024.

1 The Constitution allows for the ECYD Committee to co-opt members for special purposes.

Only Ordinary Members of ECYD (defined as members of CSSC and CSSA who have sailed on Freyja during the last 3 years or who have taken part in related activity in support of ECYD, such as maintenance) are eligible to vote at the AGM.

ECYD Members and members of CSSC/CSSA who wish to attend the ECYD AGM in person at Littleton Sailing Club (TW17 0NF) are asked to notify ECYD Secretary (secretary@ecyd.org.uk):  by 6 November 2024 of their attendance.   

ECYD Members and members of CSSC/CSSA who wish to attend the ECYD AGM on Zoom are asked to contact the ECYD Secretary (secretary@ecyd.org.uk) by 6 November 2024 for the Zoom code.

Members shall give to the ECYD Secretary (secretary@ecyd.org.uk) not later than 7 days (1 November 2024) before the General Meeting, notice in writing signed by them and by their seconders of amendments which they which they wish to propose to such motions.

I have just returned from two weeks of sailing on Freyja from Denmark down to Rendsburg in Germany.  With 3 days of winds at F7 gusting F9, we stayed safely in harbour, although Freyja had a list in excess of 10°!

Looking back through the Log Book of the Long Trip, the crews have had a good time, in spite of variable weather.

We have an excellent yacht, yet we could not fill all the available charters in the last 3 years, 2021 – South Coast (2 weeks); 2022 – Scotland and Oban (8 weeks); 2023 – the Baltic (including 3 charters totalling 27 days).  We have had no interest in charters once Freyja returns from the Baltic.

Over the last 3 years, several long standing members of the ECYD Committee have retired.

The remaining members have worked hard to keep ECYD properly maintained, with planning for the various courses and charters, managing charters and sea-time, looking after our charts and publications.  With no help for these tasks, many of the Committee have decided to retire.  This leaves ECYD with no Yacht‑Husband, Yacht Secretary, Crew Bureau, and Secretary.  We will need a complete Committee to be in place by the AGM (in November 2023) to continue operating Freyja.

ECYD has now reached a cross roads.  Although we have asked for volunteers, only a few individuals have been in contact with me and have not followed up.  With no volunteers coming forward, we cannot manage Freyja without a Committee.

I have been sailing with ECYD for over 20 years and am very sad that this situation has arisen.

Our Constitution provides for dissolution of ECYD; this would mean that all ECYD’s assets would be transferred to CSSA.

Your Committee has decided to hold a Special General Meeting in accordance with the ECYD Constitution to consider dissolution of the East Coast Yacht Division.

The Special General Meeting will be held at Rutland Sailing Club on Saturday 23 September 2023 at 1200hrs.  The meeting will also be available on Zoom.
