Minutes of the Special General Meeting
of the ECYD held at 1200 hours on
Saturday 23 September 2023
at the Rutland Sailing Club
.

Present – There were 8 members physically present, 9 via Zoom.
13 members had voted by Proxy.
A further 5 CSSA members attended by Zoom.10 CSSA members who had not sailed with ECYD since 2017 (and hence were deemed not to be active members of ECYD) had sent Proxy votes or had sent messages of support.
The Dissolution of the ECYD
The ECYD Captain reprised the information contained in the Special Edition of the East Coast News and circulated by email to all believed to have an interest in sailing the ECYD yacht, Freyja.
In essence several key vacancies on the ECYD Committee remained unfilled, no-one had offered to act as Boat Husband after the retirement of the current one, and yacht bookings had been lower than expected for the last two years.
Volunteers for the posts of Yacht Husband and other Committee members had been sought from the CSSA membership through CS-Sailing over several issues and through the CS-Sailing Newsletter. The notice for the SGM had been published on the CSSA and ECYD web-pages and on Facebook.
John Figgures then proposed and Paul Dunn seconded an enabling motion that would allow ECYD to be closed down in an ordered manner if volunteers did not come forward by the date of the AGM.
The motion was:
That, if there are insufficient volunteers to fill all the vacant posts on the ECYD Committee at the date of the AGM (18 November 2023), then the East Coast Yacht Division be DISSOLVED and its net assets be transferred to the Civil Service Sailing Association in accordance with the ECYD Constitution paragraph 16 by 31 January 2024.
Including the 13 eligible proxy votes lodged with the Captain before the meeting, the votes were cast as follows: For: 25; Against: 1; Abstaining: 4. The motion was therefore carried.
There being no other business, the meeting closed at 1240.
